# V8 — Deck Message Arc ("From Handshake to Institution")

Slide-by-slide MESSAGES (what each slide must land, not final layouts).
[FILL] = founder supplies; never invent metrics.

---

## Slide 1 — Cold open: the handshake (narrative beat, no logo yet)

Full-dark slide. Handwritten across it:

> *"we should build this together."*
> — every company that ever mattered, day zero

**Spoken beat:** "Every institution you respect — every company, every fund,
every lab — began exactly like this. Not with a filing. With a promise.
The filing came months later. If the promise survived."

Then the reveal line, stamped: **Entity.ID — the venture registry where
handshakes become institutions.**

## Slide 2 — Why now: the promises are multiplying

Three numbers, one sentence each:
- **5.62M** new US business applications in 2025 — an all-time record,
accelerating into 2026 (US Census BFS).
- **Stripe Atlas incorporations +130% YoY in Q1 2026** — AI is minting
founders faster than the legal system was designed for (Stripe/MindStudio).
- **72.9M** US independent workers; 30.4M businesses with zero employees and
$1.8T in receipts (MBO Partners; US Census).
**Message:** more founding moments per year than ever in history — and the
official system still starts at a $500 Delaware filing.

## Slide 3 — Problem: promises die unstructured

The three deaths (fuzzy split / personal account / falling-out), plus the
legal teeth: *Samuels v. Lido DAO* (2025) — members of an unstructured
collective held potentially liable as general partners.
**Message:** between the handshake and the filing there is nothing — no
record, no structure, unlimited personal exposure. Most ventures live and die
in that nothing.

## Slide 4 — Insight: disclosure is what makes an entity real

The registry framework: an entity is not paper — it's **disclosure on a
record**: who's in it, who owns what, what rules govern it, where the money
sits — published where counterparties can verify it. That's all a state
registry ever was. Nothing about it requires a state, a lawyer, or a
six-week queue.
**Message:** move the record to the real founding moment — the handshake —
and let it grow into the state filing instead of waiting for one.

## Slide 5 — Product: the promise, made official in minutes

7-step formation (name → purpose → partners → ownership → terms →
constitution → review) → a public venture address
(`tarka-labs.public.entity.id`) → a live dashboard: Treasury, Fundraising,
Governance, Members, Compliance.
**Message:** "Operate today, incorporate when you need to" — a sentence no
incumbent can say; all of them require the filing first.
(Demo: 67-second formation film / live walkthrough.)

## Slide 6 — The AI wedge: today's handshake includes an agent

- Every major payment network shipped agent rails within 18 months
(Visa, Mastercard, Stripe+OpenAI, Google, PayPal, Coinbase). Agents can
pay — they can't legally exist.
- ~69k agents transacting ~$600M/yr on one protocol alone (Coinbase x402);
the first "AI millionaire" (Truth Terminal) has no legal way to own its
  wealth.
- The registrar marketing agent incorporation hardest: $9,500 + weeks + a
mandatory human kill switch (MIDAO). The agent is never the principal.
**Message:** Entity.ID gives agents **standing** — membership and ownership
inside a venture, anchored to accountable humans, checkable by any
counterparty. **KYA: Know Your Agent.** Corporate personhood was the
technology that made companies real; registered standing does it for agents.

## Slide 7 — Market: the money is real and the leaders are asleep

- Formation paperwork alone: LegalZoom **$756M FY2025 revenue** in a
~4%-CAGR market whose leaders are acquiring, not building
  (Firstbase→Harbor, Capbase→Mainstreet, Formation Nation→LegalZoom).
- The operations layer is where revenue lives: Carta ~**$442M ARR** — and it
can't onboard you without a certificate of incorporation.
- Online legal services ~$25.2B (2025) → ~$47B (2030); AI-agents market ~$8B
  (2025) → ~$50B+ (2030, ~46% CAGR — MarketsandMarkets/Grand View).
- Precedent that registries are products: Estonia e-Residency, €125M/yr.
**Message:** we take the formation market's volume, the ops layer's revenue
model, and a greenfield nobody structural can enter: agent standing.

## Slide 8 — Traction

- Registered ventures: [FILL]
- Weekly formations / activation: [FILL]
- Treasury volume under record: [FILL]
- Agent-member registrations: [FILL]
- Waitlist / partnerships (agent frameworks, marketplaces): [FILL]
**Message:** the registry publishes its own numbers — this slide *is* the
product demo. (Estonia's playbook: lead with live counters.)

## Slide 9 — Business model: registry economics

- Free formation → paid operations (treasury, fundraising, governance,
compliance modules) — Carta-shaped revenue on Atlas-shaped volume.
- Verification & standing checks (KYA lookups) as metered infrastructure —
every agent-to-agent transaction is a potential standing check.
- Incorporation hand-off and lifecycle services at the moment ventures
  mature.
- **Protocol economics (optional variant):** the Entity.ID protocol as an
open standard with network fees on registry writes/verifications; a token
model is one possible instrument for protocol governance and fee routing —
presented as an option, not the plan of record. [FILL: chosen model]
**Message:** the record is the wedge; operations are the revenue; the
protocol is the moat.

## Slide 10 — Roadmap

- Now: formation + operating record (7-step wizard, treasury, governance,
  members, compliance — live).
- Next: incorporation bridge (registry record → state filing, one motion);
KYA standing API for counterparty checks; agent membership SDK.
- Then: registry network effects — standing checks embedded in agent
frameworks and payment rails; multi-jurisdiction incorporation menu.
- [FILL: dates/quarters]
**Message:** each stage widens the moat: records → verifications → the
default trust layer of agent commerce.

## Slide 11 — Team

- [FILL: founders, backgrounds, why-us]
**Message to land:** registry businesses are won by credibility — pair
builder speed with regulatory/legal depth.

## Slide 12 — The ask

- Raising: [FILL amount / instrument]
- Use of funds: [FILL — e.g., KYA API GA, incorporation bridge, first
  agent-framework partnerships]
- Milestones this buys: [FILL]
**Closing beat (return to slide 1):** "Every institution began as a
handshake. We're asking you to shake on this one — while it's still a
promise."
